Decree 288/2026/ND-CP: Significantly Increased Penalties for Business Registration Violations from July 21, 2026

From July 21, 2026, Decree 288/2026/ND-CP officially takes effect, amending and supplementing several provisions of Decree 122/2021/ND-CP on administrative penalties in the field of planning and investment. Notably, the decree has significantly increased the penalties for many violations related to business registration, especially obligations regarding beneficial owners.

1. Fines up to VND 100 million for failure to supplement beneficial owner information

For enterprises established before July 1, 2025, if they have not supplemented beneficial owner information (if any) when carrying out procedures for changing business registration content or the latest change notification, the enterprise may be fined from VND 70 million to VND 100 million. This is a completely new penalty provision added in Decree 288/2026/ND-CP.

2. Failure to declare beneficial owners when establishing an enterprise may result in fines up to VND 100 million

When carrying out procedures for enterprise establishment registration, if beneficial owner information or information to identify beneficial owners (if any) is not declared, the enterprise may be fined from VND 50 million to VND 100 million.

3. Increased penalties for late or non-registration of changes to business registration content

The new Decree significantly increases penalties for cases of late registration of changes to business registration content:

Late from 91 days or more VND 50 – 6
